THE DEAL:
The sale of Archive 2000 Limited to Dublin based Offsite Archive Storage and Integrated Services (Ireland) Limited (“OASIS”). Birmingham-based Archive 2000 offers off-site document storage and retrieval services to local and national clients. In addition to storage facilities, it offers other archival services such as box supply, retrievals, indexing and confidential destruction. OASIS is recognised as one of the fastest growing and most dynamic companies in the records and information management industry with services in the Republic of Ireland, Northern Ireland, Great Britain, Belgium and The Netherlands. OASIS is owned by US private equity firms Housatonic Partners, Sverica International and Oros Management.
OUR ROLE:
We were appointed to assist Paul and Sandra Byrne, the shareholders of Archive 2000, on their exit. This involved leading the financial negotiations with the ultimate buyer, OASIS, as well as project managing the strategic tax advice. We worked very closely with Archive’s lawyers to provide a “joined up” advisory team and we acted as a sounding board to the shareholders as the transaction progressed to completion to provide Paul and Sandra with a well-managed and successful exit.
WHAT OUR CLIENT SAID:
‘As owner managers selling our business in our only ever corporate transaction we were not used to dealing with multinationals who buy and sell companies on a regular basis. The Cattaneo team provided us with straightforward, pragmatic and commercial advice. They helped negotiate a deal we are very pleased with and made sure that we understood the key elements of the transaction and their implications. Their attention to detail whilst still maintaining a “big picture” overview and understanding, meant they more than delivered our objectives.’
Paul Byrne, Owner, Archive 2000
